This includes counseling Boards of Directors regarding members' fiduciary duties (especially in transactions in which one or more of the directors has an interest). The firm also counsels Boards with regard to special duties that may arise in connection with sales of securities, mergers and acquisitions and other transactions.

In addition, Koltun & King helps publicly traded clients with the additional corporate governance responsibilities imposed upon them by the securities laws and stock exchange rules, including the Sarbanes-Oxley Act.
